Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On December 5, 2005 the Board of Directors of Neurocrine Biosciences, Inc. (“Neurocrine”), upon
recommendation of its Nominating and Corporate Governance Committee, appointed Adrian Adams to the board of
directors. Mr. Adams is a Class III director and his initial term expires at Neurocrine’s 2008
annual meeting of stockholders. He will serve on the Compensation Committee.
There is no arrangement or understanding between Mr. Adams and any other person pursuant to which
Mr. Adams was selected as a director of the registrant. There are no transactions in which Mr.
Adams has an interest requiring disclosure under Item 404(a) of Regulation S-K.
