Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)    On April 6, 2020, Alfred W. Sandrock, Jr., M.D., Ph.D., notified Neurocrine Biosciences, Inc. (the “Company”) of his decision not to stand for re-election as a member of the Company’s Board of Directors when his term as a Class III director expires at the Company’s 2020 Annual Meeting of Stockholders. Dr. Sandrock’s decision not to stand for re-election was due to other professional commitments and not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
