Explanation of Responses:
1. The disposition reported in this Form 4 was effected by a broker pursuant to instructions set forth in a Rule 10b5-1 trading plan adopted by the Reporting Person at least 90 days prior to the transaction date in Box 3 above. Additionally, Issuer policy restricts the Reporting Person from amending, canceling, suspending or otherwise modifying any 10b5-1 trading plan subsequent to adoption of the plan.
2. Represents a weighted average price. These shares were sold in multiple transactions at prices ranging from $22.52 to $22.98. The Reporting Person has provided to the issuer, and will provide to any security holder of the issuer or the SEC staff, upon request, information regarding the number of shares sold at each price within the range.
3. The option was granted February 27, 2008 and vested in 36 equal monthly installments beginning March 27, 2008.

hereby constitutes and appoints, jointly and severally Kevin C. Gorman, Timothy P. Coughlin

and Darin Lippoldt, each of them, the undersigned's true and lawful attorney-in-fact and agent,

each with the power of substitution for her in any and all capacities to complete and execute such

Forms 144, advisable pursuant to Rule 144 promulgated under the Securities Act of 1933 (as

amended) and Forms 3, 4, and 5 advisable pursuant to section 16 of the Securities Exchange Act

of 1934, and other forms as such attorney shall in his or her discretion determine to be required

by the rules and regulations promulgated thereunder, or any successor laws and regulations, as a

consequence of the undersigned's ownership, acquisition or disposition of securities of the

Corporation, and to do all acts necessary in order to file such forms with the Securities and
